Louis J. Rogers
Founder and CEO
Louis J. Rogers is founder and chief executive officer of Capital Square 1031, where he oversees the firm’s Delaware Statutory Trust (DST) programs for investors seeking qualifying replacement property for Section 1031 tax-deferred exchanges and regular (non-exchange) investors.
Rogers also provides investment banking services for owners. He is a nationally recognized authority in structuring securities offerings for real estate investments and serves as a consultant and expert witness on Regulation D private placements, non-traded REITs, Section 1031 exchanges, DST and TIC programs, real estate funds, and issues related to broker-dealers and registered investment advisors.
Jeffrey A. Gregor
Executive Vice President, General Counsel
Jeffrey A. Gregory serves as executive vice president, general counsel, of Capital Square 1031 and its affiliates.
Prior to joining Capital Square, Gregor served in identical capacities for Daymark Realty Advisors (formerly known as Grubb & Ellis Realty Investors and Triple Net Properties), a wholly-owned subsidiary of Grubb & Ellis Company, serving more than 5,200 clients and overseeing a nationwide portfolio of commercial property totaling approximately 33 million square feet, including more than 8,700 apartment units.
Previously, Gregor served as senior corporate and securities counsel for Grubb & Ellis Company for nearly four years. Gregor managed the private real estate securities legal department, which had a portfolio of assets valued in excess of $5.7 billion located throughout 30 states and completed acquisition and disposition volume totaling approximately $10 billion on behalf of program investors.
Prior to Grubb & Ellis, Gregor was a senior associate and member of a nationally recognized real estate securities practice group at Hirschler Fleischer, a Richmond, Virginia- based law firm.
Gregor earned a juris doctorate from The University of Richmond School of Law, and a bachelor’s degree from St. Mary’s College of Maryland.

J. Sheppard Haw
Shep Haw represents Capital Square with high net worth investors seeking to co-invest in properties and portfolios. Haw leads the development of education programs for family offices, professional advisors and institutions. He has been involved in ownership and development of commercial real estate for more than 20 years. Most recently, he worked on the re-development of historic office buildings in downtown Richmond.
Haw spent 15 years in healthcare administration at the Massey Cancer Center and at Virginia Commonwealth University’s MCV hospitals. Prior to that, he served in account management with a southeastern advertising agency and as assistant to the president of Hampden-Sydney College.
He is a graduate of the Real Estate and Urban Land Development Program at Virginia Commonwealth University, and earned an M.B.A. from Duke University, as well as a bachelor’s degree in english from Hampden-Sydney College.

Kim S. Martelli
Senior Vice President, Investor Relations
Kim Martelli is senior vice president of investor relations for Capital Square 1031 and its affiliates. In this role, she coordinates all correspondence and cultivates relationships with investors and their registered representatives. She also oversees all pre-closing, closing and post-closing activities. She has more than 20 years of experience in the real estate industry, serving as an agent, title abstractor and quality assurance officer, closing team leader and 1031 exchange coordinator.
Prior to joining Capital Square, Martelli was responsible for developing and coordinating all real estate and investor closings, investor communications, documents, department policies and procedures, from the company’s initial offering phase through the closing. Previously, she served as a division manager for an online title search company, working with both residential and commercial accounts.

Senior Vice President of Finance
Gene Fitz is the senior vice president of finance with Capital Square 1031, overseeing its financing and accounting functions. Fitz has more than 30 years of accounting and business experience, with a diversity of skills and experiences including GAAP accounting, financial reporting, taxation, auditing, internal controls, risk management, budgeting and forecasting, compliance, and human resources. He has served in many capacities in his career, including CFO and executive management teams of national organizations. Fitz has also served in various key financial management roles in public and privately-owned international organizations, focusing on tax compliance and reporting, internal audit, cost accounting, and financial reporting functions.
Fitz earned a bachelor’s degree in accounting from Virginia Tech in Blacksburg, Virginia, a master’s in taxation from Virginia Commonwealth University in Richmond, Virginia, and an M.B.A. from William and Mary in Williamsburg, Virginia.

Shari Sears is the controller at Capital Square 1031. She has worked in the accounting field for more than 25 years, with 15 years of experience at two large publicly-traded real estate investment trusts. She has expertise in the following areas: accounting management, internal and external reporting, financial analysis, forecasting and budgeting, general ledger, accounts payable and receivable, cash and debt management, accounting systems implementation, and audit.
Sears was the senior regional controller at Brandywine Realty Trust, where she directed accounting for the Richmond, Virginia, Mid-Atlantic, and Austin, Texas regions with over 13 million square feet of owned, joint venture, and third-party office and industrial properties. Prior to joining Brandywine, she worked for Cornerstone Realty Income Trust as the controller of property accounting and assistant corporate controller managing the accounting for 90 apartment communities and the corporate office. Sears was the financial reporting manager at Alfa Laval and the controller at Robertshaw Controls Company. She began her career as an auditor with Ernst & Young.

Michael S. Waddell
Executive Vice President, Asset Management
Mike Waddell is executive vice president of asset management with Capital Square 1031, overseeing the company’s asset administration group and its growing commercial real estate portfolio. He has 30 years of commercial real estate experience working with national, institutional and private real estate companies. Waddell joined Capital Square from Triple Net Properties, later known as Grubb & Ellis Realty Investors, where he most recently served as executive vice president and chief operating officer. He oversaw asset management and other operational areas for the company, including its 20 million square foot commercial property portfolio valued in excess of $3 billion.
Waddell’s prior experience includes: serving as president of CCA Properties, LLC, a Virginia-based commercial real estate investment and operating company; senior vice president and executive management team member at Grubb & Ellis | Harrison & Bates in Richmond, Virginia; executive director, head of East Coast, Latin America and Canada corporate real estate activities for The Walt Disney Company; vice president of asset management and senior project manager for The Rowe Companies; and asset manager for Wachovia Bank’s Real Estate Investment Advisory Group. Chris Hirth is an asset manager with Capital Square 1031, where he oversees a portfolio of office, retail and multifamily properties. Hirth joined Capital Square from CBRE | Richmond, where he managed a portfolio of over one million square feet of space, consisting of 25 office and flex properties in the Richmond area. Executive Vice President of Investments
Seth Harris is executive vice president of investments for Capital Square 1031 and its affiliates.
Harris has more than a decade of experience in multi-family acquisitions and financing. He joined Capital Square 1031 from Landmark Apartment Trust, where he spent 11 years, ultimately as vice president of financial services. During his tenure, Harris completed approximately $1.3 billion in multi-family refinance and disposition transactions, purchased 56 multi-family properties with an aggregate value of $1.3 billion, and closed $900 million in multi-family financing from agencies, banks, insurance companies, and CMBS lenders. Over the course of his career, he has developed valuable relationships with a number of key players in the industry.
Harris earned a bachelor’s degree in economics and a master’s degree in real estate with a concentration in finance and investment from New York University.

Assistant, Asset Management
Maggie Scott serves as assistant of asset management with Capital Square 1031, where she assists Capital Square’s asset managers oversee a growing real estate portfolio. Prior to joining Capital Square, she spent four years in asset management with Daymark Realty Advisors, managing core institutional office, industrial, medical and retail assets in the company’s national real estate portfolio. Scott was also involved in the company’s acquisitions and dispositions. Previously, she served in a similar role with Grubb & Ellis Company, joining the firm in 2006. Scott joined an industrial chemical manufacturing company in 1996 as a business administration representative, where she was the liaison with international sales representatives in more than 35 countries.

National Sales Director
Margo Steahly is the national sales director for Capital Square 1031, where she is responsible for east coast sales of 1031 DST programs and other investment vehicles. Steahly interacts with due diligence officers and registered representatives in the sale of DST programs.
With more than 20 years of experience in the financial services industry, Steahly turned her focus to private placements in 2003, shortly after the passage of Rev. Proc 2002-22 governing tenant-in-common interests as Section 1031 replacement property. Her experience as a financial advisor made her well-suited to sell TICs and DSTs in the securities arena. While working for one of the pioneering TIC firms, she was involved with and attended the first meeting of the Tenant in Common Association (TICA), predecessor to the premier industry trade organization now known as the Alternative & Direct Investment Securities Association (ADISA). While serving as director of tenant-in-common sales at ORIX (NYSE:IX) at their U.S. headquarters in Dallas, Texas, she helped develop a scalable business platform which incorporated a web-based due-diligence information-distribution system, a turn-key application and closing process for investors and a server-secured contact management database.
Steahly has authored several articles on 1031 exchanges and participates in leading industry panel discussions. In 2009, at the height of the financial crisis, she worked with ADISA’s Legislative & Regulatory Committee, lobbying Congress to unlock the capital markets.
She holds FINRA Series 7 and Series 66 licenses and is a graduate of DePaul University in Chicago, where she earned a Bachelor of Arts in Business Administration. She resides outside of Washington D.C.

Vice President of Acquisitions & Development
Whitson Huffman is responsible for sourcing and acquiring a wide variety of mixed-use multifamily, office and retail properties at Capital Square 1031. Prior to Capital Square, he was an associate at JBG Smith (formerly The JBG Companies), an NYSE-listed REIT and fund manager with a $4.5 billion market capitalization. While at JBG Smith, Huffman developed 1,300 residential units and over 210,000 square feet of retail with a total capitalized value of over $650 million. He also sought entitlements for over 1,500 residential units and 350,000 square feet of retail, with a projected capitalized value of over $400 million. Prior to joining JBG Smith, Huffman was employed as a consultant in the financial services group at Ernst & Young, working on multifaceted banking and capital markets projects for systemically important financial institutions. He earned a B.S. in Finance from Miami University Farmer School of Business and is completing a Master of Real Estate, Finance from Georgetown University. He is very active in a number of programs, including ULI’s Young Leaders Group and NAIOP. He is a chairman of the National Capital Chapter of Ducks Unlimited and Real Estate Games Committee Member of the Juvenile Diabetes Research Foundation.

Associate National Sales Manager
Tamara Darling is associate national sales manager of the western region for Capital Square 1031, responsible for providing sales and marketing support for registered representatives in the western and mountain states. Darling has more than 15 years of sales and marketing experience, serving the broker-dealer community with her knowledge of Section 1031 offerings in a broad range of real estate asset classes. Prior to joining Capital Square, Darling was managing national accounts with Axxcess Capital Partners, L.P., a boutique investment banking and advisory firm focused on real estate, energy and healthcare, and national accounts manager for Argus Realty Investors, a national real estate sponsor that acquired $1.6 billion in commercial real estate during her seven years with the firm. She has held various key roles with other sponsors and has developed valuable relationships with numerous industry professionals. Darling holds a FINRA Series 22 securities license.

Ware Smalley is an acquisitions associate with Capital Square 1031, focusing on the underwriting, financing and due diligence of new investments for the firm. He has over five years of commercial real estate experience spanning acquisitions, lending and asset management. Prior to his current position, Smalley served as an analyst with American Capital, in Bethesda, Maryland, where he helped originate bridge loans and manage a portfolio of CMBS B-notes. Previously, he launched an asset management division for the Calkain Companies, of Reston, Virginia.

Julia Bard serves as executive vice president of operations of Capital Square 1031, where she serves as a liaison between the various departments and assists with strategic planning, monitoring, and investor reporting. Bard coordinates with outside legal counsel and is responsible for banking, human resources, payroll, health care and business insurance.
She has more than 20 years of experience in the legal and real estate fields. Prior to joining Capital Square, she was responsible for reviewing financial reports, assisting with acquisition approval and asset management, and developing department policies and procedures at Triple Net Properties, LLC. Bard also spent seven years in the business law and real estate securities practice groups at the Hirschler Fleischer law firm in Richmond, Virginia, a firm active in alternative investment offerings.

Douglas A. Britton, Esq.
Chief Automation Officer and Compliance Counsel
Doug Britton serves as chief automation officer and compliance counsel to Capital Square 1031. He also is the founder of IM Services, which provides independent manager services to single-purpose entities, a term of art used by rating agencies for borrowers that qualify for certain securitized loans. Prior to founding IM Services, Britton was president of DAAIS.com, which provided automated legal document and information management services, emphasizing automation of loan transactions for banks. From 2000 to 2002, he served as special counsel for Hirschler Fleischer, specializing in lending, securities, real estate syndication, Uniform Commercial Code, tenant-in-common exchanges and general contractual matters. Previously, Britton was vice president of QCL Inc., a commercial printing company, and was responsible for all aspects of day-to-day operations during transition from acquisition until installation of permanent management. From 1988 to 1992, he held numerous positions with First Hospital Corporation, including senior legal officer and corporate secretary. Britton began his legal career as an associate attorney at Hunton & Williams, specializing in commercial lending and other commercial transactions. He earned his Juris Doctor degree from the University of Virginia in 1985 and his bachelor’s degree from the University of Virginia in 1981. He is a director of Novana Analytic Systems and has been a guest lecturer at the University of Virginia School of Law.

Donna Quick serves as manager of investor relations for Capital Square. Prior to joining the company, she acted as U.S. marketing manager for Cabletime USA, where she managed its New Jersey office. Previously, Quick was production manager with Probe Group, LLC, a telecom research and publishing firm, where she was involved in the production of numerous market research reports and newsletters and participated in the launch of Wireless: For the Corporate User magazine. She also provided production services and assisted with research for its financial division, Probe Financial Associates, whose clients included investors in the converging telecommunications and information technology sectors.

Janet Easterling serves as investor relations closing agent for Capital Square 1031. In this role, she works with investors, broker-dealers, financial advisors, qualified intermediaries, staff members and legal counsel to help document the closing of DST investments as replacement property under Section 1031 of the Internal Revenue Code. Previously, she worked for a local financial institution and has several years of experience as a mortgage loan operations specialist where she processed loan modifications. Melodie Bobko serves as paralegal of Capital Square 1031, supporting the firm’s executive vice president and general counsel. Bobko has more than 20 years of experience in the legal and real estate fields as a commercial real estate paralegal. Prior to joining Capital Square, she served as senior corporate paralegal of a nationally recognized real estate securities practice group at Hirschler Fleischer, a Richmond-based law firm, in the business law and real estate securities practices groups. Bobko worked closely with investors, brokers, lenders and outside counsel to coordinate and prepare investor blotters, calculate cash and percentage investments, prepare Form D and Form U-2 securities compliance filings with SEC and investor states, prepare investor documents, review escrow and exchange documents, coordinate bank accounts for distributions, coordinate closings, and prepare closing binders. She was also responsible for the formation and qualification of TIC or special purpose entities and preparation tax and annual report filings.
Previously, she has also worked in commercial title underwriting, private and municipal property development and management, and development and RFP coordinator for a local arbitrage rebate company. Most recently she served as senior commercial real estate paralegal for both Hirschler Fleischer and Troutman Sanders, working on commercial real estate transactions for a regional healthcare system and a national supercenter chain, respectively.

Sydney Morgan serves as the marketing assistant/executive assistant at Capital Square 1031. Vu Nguyen is a portfolio accountant at Capital Square 1031, where he oversees the accounting and financial analysis for numerous properties. After graduating from Virginia Commonwealth University with a bachelor of science in accounting and a minor in mathematics, he started his accounting career as an associate with Ernst & Young.
